NOTICE TO END-USER: CAREFULLY READ THE FOLLOWING LEGAL AGREEMENT (THIS "LICENSE"). THIS LICENSE CONTAINS IMPORTANT TERMS ABOUT YOUR USE AND OUR OBLIGATIONS WITH RESPECT TO THE FOLLOWING JSA DATA INC 

1. License Grant: In consideration of Your payment of a license fee, which is a part of the price you paid for the Software, JSA Data Inc grants to You: (a) a non-exclusive license to install and use all components of the Software on not more than one (1) personal computer for its use by You in connection with your development and testing of the application program(s) created by You using the Software, (b) a non-exclusive license to install and use the engine components of the Software called "SF40RDK.PRC" or "SF40SDK.PRC" on one handheld computing device(s), and for deployment of applications created for You on those devices. JSA Data Inc reserves all rights not expressly granted to Licensee.

2. Copyright: Canadian copyright law and international treaty provisions protect the Software. You acknowledge that no title to the intellectual property in the Software is transferred to You. You further acknowledge that title and full ownership rights to the Software will remain the exclusive property of JSA Data Inc, and You will not acquire any rights to the Software except as expressly set forth in this License. You agree that any copies of the Software will contain the same proprietary notices, which appear on and in the Software.

3. Prohibited Uses: You may physically transfer the Software from one (1) single computer to another, provided that the Software is used on only one computer at a time. However, You may not (a) electronically transfer the Software from one computer to another over a network, (b) distribute copies of the Software or accompanying written materials to others, without the prior written consent of JSA Data Inc, except as noted in Sections 1(b) and 1(c) above, (c) modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software other than as expressly permitted under Section 1 above, (d) modify, adapt, translate, or create derivative works based on the written materials without the prior written consent of JSA Data Inc or (e) use any applications created for You using the Software with any synchronization server product. Without prejudice to any other rights, JSA Data Inc may terminate this License if You fail to comply with its terms and conditions. In such event, You must destroy all copies of the Software and Documentation.

4. Warranty: JSA Data Inc warrants that the physical CD(s), if any, and the Documentation are free of defects in materials and workmanship under normal use for a period of sixty (60) days from the date of purchase. In the event of a defect in materials or workmanship during the warranty period, JSA Data Inc will replace the defective media and/or Documentation when the defective media and/or Documentation is returned to JSA Data Inc by You. THE SOLE AND EXCLUSIVE REMEDY FOR ANY BREACH OF THIS WARRANTY IS LIMITED TO REPLACEMENT OF THE PHSYCIAL MEDIA AND/OR DOCUMENTATION ONLY AND SHALL NOT INCLUDE DAMAGES. EXCEPT AS EXPRESSLY SET FORTH ABOVE, JSA Data Inc DISCLAIMS ALL WARRANTIES WITH RESPECT TO THE SOFTWARE AND DOCUMENTATION, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT OF THIRD PARTY RIGHTS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY JSA Data Inc OR JSA Data Inc AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF ANY WARRANTY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, OR THE EXCLUSION OF LIMITATION OF INCIDENTAL DAMAGES, SO THE LIMITATIONS OR EXCLUSIONS SET FORTH IN THIS LICENSE MAY NOT APPLY TO YOU.

5. No Liability for Consequential Damages: IN NO EVENT SHALL JSA Data Inc BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR INDIRECT DAMAGES OF ANY KIND ARISING OUT OF THE PERFORMANCE OR USE OF THE SOFTWARE, EVEN IF JSA Data Inc HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. Indemnity: You agree to indemnify and hold harmless JSA Data Inc from and against any and all claims, actions, liabilities, costs and demands, including reasonable attorneys' fees, arising with respect to your creation, distribution and/or use of any application program(s) products or software.

7. If use are using this software in the UNITED STATE. U.S. Government Restricted Rights: Use, duplication or disclosure of the Software by any agency, department or other entity of the U.S. Government is restricted in accordance with FAR 12.212 for civilian agencies and DFARS 227.7202 for military agencies. The Software is a commercial product. Use of the Software by the U.S. Government is further restricted by the terms of the license agreement included with the Software.

8. Governing Law: This License shall be governed by the substantive laws of the province of Ontario, Canada applicable to contracts executed in and performed entirely within Ontario, excluding its conflicts of laws rules.

9. Compliance with Applicable Laws: You agree to comply with all applicable laws and regulations at Your expense, including, without limitation, all applicable government export and import laws and regulations. You shall not export, directly or indirectly, the Software, or any portion thereof, to any country for which the law or regulations require an export license or other governmental approval, without first obtaining such license or approval. You shall not import, directly, or indirectly, the Software, or any portion thereof, without first obtaining the appropriate license or approval.

10. Entire Agreement: This License constitutes the entire agreement between the parties with respect to the use of the Software and the Documentation, and supersedes all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. Any additional or different terms or conditions proposed by You are hereby rejected and shall be of no force and effect unless expressly agreed to in writing by JSA Data Inc. No amendment to or modification of this License will be binding unless in writing and signed by a duly authorized representative of JSA Data Inc.
